1. Acceptance of Terms

By accessing or using the Among platform (the "Service"), operated by Workmain Inc. ("Among", "we", "us"), you agree to be bound by these Terms and Conditions and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not use the Service. These terms apply to all users of the platform, whether browsing, using our chat interface, or transacting as a buyer or vendor.

2. About the Service

Among is an AI-powered B2B procurement marketplace that connects businesses in the Miami-Dade County area with local commercial service providers. The Service operates through SMS messaging and our web platform and includes: AI-assisted procurement conversations, request-for-quote (RFQ) distribution to matched vendors, structured quote comparison, purchase order generation, and transaction management. Among acts solely as a marketplace facilitator — we are not a party to the agreements between buyers and vendors. Service availability may expand to additional regions in the future.

3. Eligibility

The Service is available to businesses and their authorized representatives who are at least 18 years old. The Service is not intended for individuals under 18. By using Among, you represent that you have the authority to bind the business entity you represent and that all information you provide is accurate and current.

4. Accounts and Registration

To use the full features of the Service, you must create an account via our web platform or interact via SMS. You agree to:

  • Provide accurate, current business information including your business name, phone number, and service details
  • Maintain the security of your account and promptly notify us of any unauthorized use
  • Be responsible for all activity that occurs through your phone number or account

5. SMS Messaging Terms

Among uses SMS as a primary communication channel. By using the Service you consent to receiving text messages from Among. Consent to receive SMS is not a condition of using or purchasing through the Service. SMS messaging terms include:

  • Program name: Among by Workmain Inc.
  • Message frequency: varies based on procurement activity (typically 5-20 messages per active transaction)
  • Message and data rates may apply per your wireless carrier's plan. Carriers are not liable for delayed or undelivered messages.
  • Opt-out: reply STOP at any time to unsubscribe from all messages. You will receive a confirmation message. Opt-out requests are honored within 15 days as required by Florida law.

  • To initiate service, text QUOTE to (305) 449-9844. By texting QUOTE, you consent to receive SMS messages from Among.
  • SMS messages are sent between 8:00 AM and 8:00 PM in the recipient's local time zone.

6. When Acting as a Buyer

Any company on Among may use the platform to procure services. When acting as a buyer, you agree to:

  • Submit genuine procurement requests with accurate specifications and reasonable expectations
  • Respond to vendor quotes in a timely manner and negotiate in good faith
  • Honor purchase orders you confirm through the platform. Failure to fulfill confirmed purchase orders may result in account suspension or permanent ban.
  • Among facilitates the transaction but is not responsible for vendor performance or service quality

7. When Acting as a Vendor

Any company on Among may list services and respond to procurement requests. When acting as a vendor, you agree to:

  • Provide accurate business information, service descriptions, and pricing
  • Respond to RFQs promptly and submit honest, competitive quotes
  • Honor the pricing and terms in quotes accepted by buyers through the platform. Failure to fulfill accepted quotes may result in account suspension or permanent ban.
  • Maintain all required business licenses, insurance, and certifications for your service area

8. Marketplace Role

Among operates solely as a marketplace facilitator and technology platform. You acknowledge that:

  • Among does not provide, perform, or guarantee any commercial services listed on the platform
  • Contracts for services are between the buyer and vendor directly. Among assists in forming these agreements but is not a party to them.
  • Among is not responsible for the quality, safety, legality, or timeliness of services provided by vendors
  • Among does not mediate disputes between buyers and vendors. All disputes arising from transactions are between the buyer and vendor.
  • Among does not endorse, certify, or guarantee any vendor listed on the platform. Buyers are responsible for their own due diligence.

9. Fees

The Service is currently free to use. Among reserves the right to introduce fees, such as subscription plans, in the future. Any fee changes will be communicated at least 30 days before they take effect. You will not be charged without prior notice and an opportunity to cancel your account.

10. Prohibited Conduct

You agree not to engage in any of the following:

  • Submitting false or misleading procurement requests or vendor information
  • Using the platform to spam, harass, or send unsolicited commercial messages
  • Circumventing the platform to complete transactions introduced through Among without using the platform
  • Interfering with the operation of the Service or its infrastructure
  • Using the Service for any illegal purpose or in violation of applicable laws
  • Creating duplicate accounts or circumventing an account ban or suspension
  • Confirming purchase orders or accepting quotes with no intention of fulfilling them

11. User Content

You retain ownership of all content you upload to the platform, including product and service listings, business descriptions, and pricing information. By uploading content, you grant Workmain Inc. a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute that content for the purpose of operating and improving the platform, including AI-powered matching and recommendations. You may control the visibility of your products, services, and pricing through your account settings, including whether information is displayed automatically or requires your approval before being shared with inquiring parties. Upon account termination, your content may be retained as described in Section 17.

12. AI and Data Usage

Among uses artificial intelligence to power procurement conversations, vendor matching, and quote analysis. Your conversation history, purchase patterns, and uploaded content may be used to train and improve our AI systems and to personalize your experience on the platform. 13. Intellectual Property

The Among platform, including its AI technology, branding, content, and design, is owned by Workmain Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our platform without written permission.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AMONG DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY VENDOR WILL MEET YOUR EXPECTATIONS. WE DO NOT ENDORSE OR GUARANTEE ANY VENDOR OR THEIR SERVICES.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORKMAIN INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. BECAUSE THE SERVICE IS CURRENTLY FREE, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100). IF FEES ARE INTRODUCED IN THE FUTURE, OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID TO AMONG IN THE 12 MONTHS PRECEDING THE CLAIM.

16. Indemnification

You agree to indemnify and hold harmless Workmain Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

17. Termination and Account Bans

Either party may terminate use of the Service at any time. You can stop using Among by replying STOP to opt out of SMS messaging or by contacting us. We may suspend or terminate your access immediately and without notice if you violate these Terms. Specifically, users who fail to fulfill confirmed purchase orders or accepted quotes may be permanently banned. Circumventing a ban by creating duplicate accounts is a separate violation of these Terms. Upon termination, outstanding purchase orders and payment obligations between buyers and vendors remain in effect. We may retain your data after termination for legal, compliance, and dispute resolution purposes.

18. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in San Francisco, California. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

YOU AND WORKMAIN INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

You may opt out of this arbitration agreement by sending written notice to hello@amonghq.com within 30 days of creating your account. If you opt out, disputes will be resolved in court as described in Section 19.

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

19. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. If the arbitration agreement in Section 18 does not apply, any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

20. Force Majeure

Workmain Inc. shall not be liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, power outages, pandemics, or labor disputes.

21. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via SMS or posted on our website at least 15 days before they take effect. Your continued use of the Service after changes constitutes acceptance. If you disagree with updated terms, stop using the Service and reply STOP to opt out of SMS.
